Parties involved
Teamwork Management Services Limited, Top Floor, Eagley House, Deakins Business Park, Egerton, Bolton, Lancashire BL7 9RP and the West Midlands Strategic Health Authority in the NHS, St. Chad's Court, 213 Hagley Road, Edgbaston, Birmingham B16 9RG ('Licensor').

The 'Licencee' refers to any authorised user of the GP Toolkit, presently restricted to the GP Practices and Primary Care Trusts of the West Midlands Strategic Health Authority referred to as the 'SHA'.


Subject matter of the Licence
This Licence Agreement is for the use of the GP Toolkit and related materials. The intended purpose of the GP Toolkit is to provide information to support GP Practices and PCTs in delivering healthcare services to their populations.


The Agreement
The Licensor hereby grants to the Licencee, and the Licencee accepts, a non-exclusive, non-transferable licence to use the GP Toolkit, as well as all modifications and version releases as provided or authorised by the Licensor from time to time. Improvements by the Licensor made available to the Licencee, are made on the same terms and conditions.

The Licensor authorises the Licencee to use the GP Toolkit subject to the limitations presented herein. Breach of these conditions will result in termination of the licence. Use of the GP Toolkit is subject to acceptance of this Licence Agreement.

On termination of the licence all copies of the content, and links, to the GP Toolkit must be returned to the Licensor or destroyed by the Licencee.

Termination of the licence will occur on change of control or dissolution of the SHA, except where the Licensor grants the right to assign the licence to a successor organisation.

The Licensor authorises the Licencee to use the GP Toolkit for the purpose intended, including research and training. The Licensor permits the Licencee to adhere to the Licencee’s normal software/program backup procedures and to complete modifications provided or authorised by the Licensor.

The Licencee acknowledges that all right, title and interest in and to the GP Toolkit and all Copyright and Intellectual Property rights therein is the exclusive property of the Licensor. No part of the GP Toolkit may be reproduced or transmitted by the Licencee for income generation and commercial purposes.

The GP Toolkit may not be used for the purpose of writing a computer program/software without the prior permission in writing from Licensor.

No part of the GP Toolkit may be reproduced or transmitted in any form in connection with a publication in a journal, magazine, newspaper or broadcast without the prior permission in writing from the Licensor and then with full acknowledgement given to the Licensor.

The GP Toolkit is provided without any warranty of any kind, whether expressed or implied, including but not limited to, any implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and continued availability. To the extent permitted by law, all such terms and warranties are hereby excluded.

Technical support for the GP Toolkit is not provided as part of this Licence Agreement, except for general support on the content and use of the GP Toolkit.

The Licencee acknowledges that the Licensor shall not in any way be liable for any damage, loss, costs or expenses arising directly or indirectly from the Licencee’s reliance on or use of the GP Toolkit.
